Transparency International UK (TI-UK) is the UK’s leading independent anti-corruption organisation. It has created powerful benchmarking tools helping dozens of FTSE 100 companies significantly improve their anti-corruption programmes.

The charity also hosts two well-established sector-specialist programmes in the defence, security and global health for the TI movement that builds on chapter-to-chapter and global collaboration efforts. These programmes ensure that defence and security institutions are accountable to their citizens and subject to civilian oversight. These programmes also ensure effective, accountable and transparent health systems that reduce room for corruption and increase progress to universal health coverage. TI-UK continues to help change the systems which have enabled corruption to take root, and strengthen institutions to hold those responsible to account.

Role specification

TI-UK seeks new Trustees who will use their skills and experience to help the Board to provide effective governance and to make strategic decisions and expand its reach to transform the lives of people by increasing the understanding of corruption in its various forms, developing effective solutions, and stopping it taking hold.

Trustees help support the Chair to examine, challenge and support the operational delivery and strategic direction of the charity's major projects and programmes. They bring an independent perspective to the work of TI-UK, with specific subject matter expertise.

The Board of Trustees is principally accountable to members of TI-UK, the Charity Commission and the TI movement and they also ensure that the activities of the charitable company meet public benefit requirements. The employees are a key stakeholder group and the Board actively engages with them on governance matters and in sharing decisions taken.

The broad areas of the work of the Board include:

  • Strategic direction: ensuring that the charity is responding to the changing external environment across programme areas
  • Performance: monitoring the performance of the executive against strategic and operational plans; including programme delivery
  • Assurance: contributing to the identification and monitoring of risk. Ensuring there are adequate short and longer term financial plans in place to deliver the strategy. Adhering to the highest standards of charity governance

Person specification

Transparency International UK seeks up to three new Trustees to join its Board. As well as being personally committed to the fight against bribery and corruption and to contributing to effective Board governance of TI-UK, the successful candidates will have an understanding of advocacy or influence in an international setting and / or how multilateral organisations function. This could have been gained in the civil society, government or private sectors and we are particularly interested in those who have worked with either technology or defence and security organisations.

Candidates will have had experience of engaging in advocacy to solve complex global challenges. They will have the know-how on the workings of government and international bodies (e.g. the UN, AU, ASEAN, OECD, NATO, WHO or similar organisations) as well as experience of exerting influence in order to make desired, impactful changes for the benefit of society.

In addition, TI-UK is interested in those who have an understanding of influencing / advocacy in an international setting from the technology sector, particularly the impact of big data and / or artificial intelligence on the fight against corruption, or from the civil society / defence and security sector interface, for example with knowledge of influencing and engaging with multilateral organisations in that sector such as those noted above.


Diversity

TI-UK actively encourages equality and diversity and it looks to recruit across age, gender, ethnicity and background. It is keen to see a diverse membership of the Trustee body and committees and to improve the diversity of the Board and ensure that it is representative of the communities it supports. All appointments will be made on merit, following a fair and transparent process. In line with the Equality Act 2010, however, the organisation may employ positive action where candidates from underrepresented groups can demonstrate their ability to perform the role equally well.


Terms of appointment

Board meetings are held at least four times a year and are aligned to the business cycle of TI-UK. Meetings normally commence at lunchtime and complete by 5:30pm with papers being provided by e-mail at least five working days before the meeting. A short meeting to approve the Annual Report and Accounts also takes place virtually and there is an annual Board / Senior Leadership Team away day.

Trustees are also expected to join two or three of the Board’s five sub-committees, either as a member or being asked to Chair. These meet for a minimum of three times a year, normally for two hours during the daytime. The Board periodically review the membership of committees and this allows for Trustees to move to different areas of oversight or for the time they have available for the individual committee roles to be taken into account. Additional time will be required to be on hand for advice on an ad hoc basis either to the Board or the Senior Leadership Team and to attend occasional events.

Trustees can claim reasonable out of pocket expenses and these will be approved by the Chair of the Finance, Risk and Audit Committee.
